Point Blank MAP Policy

USA Minimum Advertised Pricing (MAP) Policy:

In order to protect the reputation of Point Blank Enterprises, Inc., and Point Blank Duty Gear (collectively, “Point Blank”) for exceptional products and quality, Point Blank has adopted a USA Minimum Advertised Price Policy for its products. The policy states as follows:

• It is Point Blank’s unilateral policy to require that all prices of Point Blank Duty Gear, (“PBDG”) products advertised by USA-based distributors and dealers (“USA dealers”) of PBDG products must match or exceed each product’s manufacturer suggested retail price (MSRP) as indicated on Point Blank’s Dealer Price List (“DPL”), except where special pricing terms or MAP exclusions are indicated on the DPL. If special pricing terms for a product are indicated on the DPL, advertised prices must match or exceed the special pricing terms.
• This policy applies to all forms of dealer advertising including mailings, catalogs, displays at consumer exhibitions and shows, and any and all other forms of advertising media, including, without limitation, the Internet and any other electronic network. Any price information relating to PBDG’s products on an Internet website that can be accessed directly through any hypertext link or by any other method that uses the hypertext transfer protocol (http) is considered to be advertising for purposes of this policy. However, electronic mail sent in direct response to a customer inquiry is not considered by Point Blank to be advertising.
• Point Blank strictly prohibits the resale of PBDG products on any 3rd party e-commerce marketplaces, including but not limited to Amazon.com, Walmart.com, eBay.com, Mercari.com, without express written approval from Point Blank.
• Point Blank reserves the right, in its sole discretion, to unilaterally suspend or terminate the supply of PBDG products to any USA dealer responsible for advertising of any PBDG product below the minimum advertised price required by this policy.
• For the avoidance of doubt, this policy shall not be construed to establish or in any way limit the actual retail sales price at which any USA dealers may sell PBDG products. Further, this policy applies equally to all PBDG USA dealers.
• This MAP Policy is unilateral.  Point Blank is not seeking agreement from any reseller to adhere to this MAP Policy, and no representative of Point Blank is authorized to solicit or accept any such agreement. It is entirely within the discretion of each reseller whether to comply or not comply.  
• The enforcement of this MAP Policy is solely within Point Blank’s discretion and authority acting through its duly authorized managers and directors. No employee or sales representative of Point Blank or its affiliates has any authority to discuss, modify or grant exceptions to this MAP Policy. Any representation or action by any employee, sales representative or persons not specifically authorized to discuss, modify or grant exceptions to this MAP Policy under this paragraph is unauthorized and invalid.
